Terms of Sale and Refund Policy Last Updated: 19 October 2025 These Terms of Sale (“Terms”) apply to all purchases, subscriptions, and credit packages made through Denney.ai (“we”, “us”, “our”). By placing an order or using our paid services, you agree to these Terms. 1. Digital Services and Instant Delivery Denney.ai provides access to digital AI tools and features delivered instantly through our website and connected APIs. Because access and usage begin immediately after payment, all purchases are treated as digital content and services under the Consumer Rights Act 2015 and Consumer Contracts Regulations 2013. By completing a purchase, you acknowledge and agree that: Digital service delivery begins immediately upon payment; and You waive your statutory right to cancel or request a refund once access or usage has commenced. 2. Subscriptions Subscription fees are non-refundable once charged. Subscriptions renew automatically unless cancelled. You may cancel any time through your account dashboard. To avoid renewal charges, cancellation must occur before the next billing date. After cancellation, access continues until the current paid term ends. No partial or prorated refunds are provided for unused time. 3. Add-On Credits and One-Time Purchases All purchases of credits, tokens, or one-time digital items are final and non-refundable. Credits are consumed as you use AI or API-based features. Because each use triggers real infrastructure and API costs, refunds cannot be issued once credits are used. Credits do not expire and remain available in your workspace unless otherwise stated. Waiver of Right to Cancel By purchasing or using any Denney.ai subscription or credits, you acknowledge that service delivery begins immediately and that you waive your statutory right to withdraw or request a refund under UK consumer protection laws once access has commenced. 4. Billing and Payment Payments are securely processed through our authorised third-party provider (e.g., Stripe). You agree to provide accurate payment details and authorise all charges for the products and services selected. Taxes Prices are displayed inclusive or exclusive of VAT as required by law. Applicable taxes are added at checkout where relevant. Chargebacks Initiating unwarranted chargebacks or payment disputes for valid transactions may result in account suspension or permanent ban. Denney.ai reserves the right to cancel or downgrade your access for non-payment. 6. Exceptional Circumstances We may, at our discretion, consider a refund or credit adjustment in limited cases such as: Duplicate or accidental charges caused by a technical error. Proven unauthorised or fraudulent use of your payment method. Requests must be submitted within 7 days of the charge to support@denneystudio.com and include relevant evidence. 7. Service Availability and Pricing Changes We may modify, suspend, or discontinue parts of our services at any time without liability. Prices and billing plans may change, but existing subscribers will receive advance notice of any material pricing changes before renewal. 8. Account Termination Denney.ai reserves the right to suspend or terminate accounts for: Payment fraud or chargeback activity; Violation of our Terms of Service ; or Misuse of AI tools (e.g., unlawful or abusive use). No refunds will be granted for termination resulting from user misconduct. 9. Disclaimers All Denney.ai services are provided “as is” without warranties of any kind. We do not guarantee uptime, output accuracy, or uninterrupted access. Your use of our AI-powered tools is at your own risk. 10. Limitation of Liability To the fullest extent permitted by UK law, Denney.ai and its affiliates shall not be liable for: Any indirect, incidental, special, consequential, or punitive damages; or Any amount exceeding the total fees paid by you in the preceding 30 days. 11. Governing Law and Jurisdiction These Terms are governed by and construed in accordance with the laws of England and Wales.
